Sandbox Terms and Conditions
We do not require a signed agreement for use of the Sandbox
but rather OPN and our Sponsoring Financial Institutions
(“we”, “us”, and “our”) ask that you (“you” and “your”)
acknowledge acceptance of the following terms of use by email
before using the Sandbox for evaluation purposes:
The Sandbox is only for evaluation and development
purposes and is not connected to other external networks
(e.g., FedACH & Debit networks). All interfaces with external
networks are available for applications in production only. We
ask that you use only anonymous, non-live, non-real data in
the Sandbox, including fictitious logos and trademarks.
Development in the Sandbox is meant to be temporary. The
Sandbox configuration has a setting that allows the Sandbox to
be available for a certain period of time after which it
expires, automatically stops, and becomes unavailable. We can
set an expiration date and it can be extended upon your
request. You acknowledge that the Sandbox is not intended to
be permanent.
Before the Sandbox is created, it is approved by a
financial institution that will provide you with the
production key when the application is ready to be enabled for
production.
The Sandbox should be used exclusively by you for
development purposes and development keys should be kept
confidential and not shared with any other party without
permission of the approving financial institution.
We ask that before requesting the application to be put
into production, you provide one of our developers with access
to be able to run through the functions of the application. We
will coordinate this with you when the application is ready
for production deployment.
We will assign a developer to work with you to answer
questions and assist with configuration of the Sandbox to meet
the needs of the proposed application.
We provide the Sandbox “as is” and without any warranty or
condition, express, implied or statutory. We, our sponsoring
financial institutions, and our suppliers specifically
disclaim any implied warranties of title, merchantability, or
fitness for a particular purpose.
In no event will we, our employees, and our sponsoring
financial institutions be liable for lost profits or any
special, incidental or consequential damages arising out of or
in connection with our Sandbox (however arising, including
negligence.) Our liability to you in any circumstances is
limited to the amount of direct damages in an amount not to
exceed $1000.00.
You agree to indemnify and hold OPN, our officers,
directors and employees, our sponsoring financial institutions
their officers, directors and employees harmless from any
claim, suit or demand (including legal fees) made or incurred
by you arising out of your use of the Sandbox.
